Master Residential Service Agreement

This Master Residential Lawn Care Service Agreement (“Agreement”) is entered into as of [Effective Date] between Rotuk LLC, doing business as Rotuk Outdoor (“Rotuk”), and [Customer Legal Name], located at [Customer Address] (“Customer”).
1. Agreement structure. This Agreement, each accepted Service Order, each applicable service addendum, and the policies expressly incorporated into the Service Order form the complete agreement for the covered services. If terms conflict, a specifically negotiated Service Order controls over this Agreement, and a service-specific addendum controls only for that service.
2. Services and service standard. Rotuk will perform only the services and service zones listed in an accepted Service Order. “Mow, edge, and blow-off” does not include fertilization, pesticide application, irrigation repair, tree work, hauling, landscape construction, or correction of preexisting conditions unless expressly listed. Rotuk will perform services in a commercially reasonable manner consistent with the agreed scope, site conditions, weather, and applicable law.
3. Scheduling and route windows. Service dates and arrival windows are estimates unless the Service Order expressly guarantees a time. Customer authorizes Rotuk to route work for operational efficiency. Rotuk may advance, delay, skip, or reschedule work because of rain, saturated soil, drought restrictions, unsafe heat, smoke, storms, equipment failure, government restriction, or other conditions that could damage property or endanger people. Rotuk will provide reasonable notice when practical.
4. Customer access and preparation. Customer will provide lawful and safe access to all service areas, unlock gates, secure pets and people, remove toys, hoses, furniture, temporary wiring, waste, and other movable hazards, and disclose invisible or fragile items including irrigation heads, shallow utilities, drain fields, landscape lighting, invisible fencing, new seed/sod, steep slopes, soft soil, and property-boundary uncertainty. Rotuk may decline or limit service when access or conditions are unsafe.
5. Property conditions and exclusions. Rotuk is not responsible for ordinary wear, normal turf stress, clippings caused by unusually long or wet turf, or damage to hidden, unmarked, improperly installed, deteriorated, or undisclosed items unless caused by Rotuk’s failure to use reasonable care. Customer remains responsible for underground utility-location obligations that apply to Customer work and for obtaining owner, tenant, association, or municipal permission when required.
6. Pricing, tax, and scope changes. Customer will pay the prices, minimum charges, and approved extras stated in the Service Order, plus applicable sales or use tax. Estimates based on mapping, photographs, or customer information may be revised before acceptance or after an initial site verification. A material scope condition discovered during service requires Customer approval unless immediate action is reasonably necessary to protect people or property. Rotuk will not apply a credit-card surcharge unless it is lawfully disclosed at the applicable point of sale and separately approved as a business policy.
7. Invoices and payment. Invoices are due according to the Service Order. Customer authorizes charges only through a separate card or bank authorization. A declined or reversed payment does not cancel the underlying amount owed. Rotuk may pause future services after reasonable notice for overdue undisputed balances. Any late charge, collection cost, returned-payment charge, or finance charge applies only when clearly stated in the Service Order and permitted by law.
8. Recurring and one-time work. A one-time Service Order ends when the listed work is completed or canceled. A recurring or continuous plan is governed by the Recurring Service Addendum. Frequency describes the normal service interval, not a guaranteed number of visits when weather, season, site conditions, customer requests, or safety conditions require adjustment.
9. Customer cancellation and changes. Customer may request cancellation, pause, frequency change, or scope change through the PWA, email, phone, or another published channel. Completed services and approved nonrecoverable materials remain payable. Rotuk may apply a missed-access or late-cancellation fee only if the fee and cutoff are shown in the Service Order and the customer had a reasonable opportunity to avoid it. Statutory cancellation rights override this section.
10. Satisfaction and correction requests. Customer should report a quality concern with photographs when practical within 48 hours after service. Rotuk will inspect the concern and, when the service materially failed to meet the accepted scope, may reperform the affected portion, issue an account credit, or provide another reasonable remedy. The correction process does not limit rights that cannot lawfully be waived.
11. Damage and incident reporting. Customer must promptly report alleged property damage, injury, or loss and preserve relevant evidence. Rotuk may inspect before repair except in an emergency. Neither party will knowingly alter or destroy relevant evidence. Rotuk’s responsibility is limited to direct loss caused by its breach or negligence, subject to applicable law; no clause excludes liability that cannot legally be excluded, including liability for willful misconduct or gross negligence where applicable.
12. Photographs, service evidence, and location data. Customer authorizes Rotuk to capture property and work-area photographs reasonably necessary for estimates, access verification, service documentation, quality review, incident investigation, and dispute resolution. Rotuk will not use identifiable customer property images for public advertising without separate permission. Background precise location tracking is not required for customers.
13. Communications. Customer agrees to receive operational communications necessary to administer requested services through email, in-app notice, phone, or text as separately authorized. Marketing consent is optional, is not a condition of purchase, and may be revoked independently. Customer is responsible for keeping contact details current.
14. Insurance and subcontractors. Rotuk may use trained employees or qualified subcontractors. Rotuk remains responsible for managing the accepted customer scope. Rotuk will maintain insurance it determines appropriate for its operations and any coverage required by law. Customer may request a certificate of insurance for commercial or higher-risk scopes.
15. Suspension and termination. Either party may terminate future services as allowed by the Service Order and recurring-service terms. Rotuk may immediately suspend work for unsafe conditions, abusive conduct, suspected fraud, unlawful instructions, inaccessible property, prohibited chemical use, or material breach. Termination does not affect payment, evidence retention, dispute, or confidentiality obligations that by their nature survive.
16. Dispute process and governing law. The parties will first attempt good-faith resolution through Rotuk support and, if unresolved, an identified manager. This Agreement is governed by Minnesota law without requiring either party to waive a nonwaivable consumer right. Venue, arbitration, class-action, attorney-fee, limitation-period, and waiver language must be completed only after Minnesota counsel approves the final production form. Small-claims rights should remain available where legally required or operationally appropriate.
17. Electronic records and signatures. The parties consent to use electronic records and signatures for this transaction. Rotuk will provide a retainable copy of each accepted document. Customer may request a paper copy and may update electronic-delivery preferences without invalidating earlier records.
18. Entire agreement; severability; assignment. This Agreement and incorporated documents are the complete agreement for covered services. A waiver applies only to the specific instance stated in writing. If a provision is unenforceable, it will be limited or severed to the extent permitted without invalidating the remainder. Customer may not transfer a property plan without Rotuk’s approval; Rotuk may assign this Agreement in connection with a sale or reorganization if service and consumer rights are preserved and notice is provided when required.
